File structure for greypop theme

I downloaded the greypop133.zip using Firefox. I saw somewhere that I/E is an issue. The zip file contents only shows /modules and /themes in the root as shown in attachment. Is this right? Why are the .inc and .css buried a few levels deep in the themes folder (root)?

looks right to me.
apparently greypop requires imageframe and lightbox modules to be installed as well.

Do I unzip on a PC into a folder and then upload the folder to the /themes folder?

sure, then upload the files and directories preserving structure to your gallery2 root directory.
*note that I'm not sure if that theme was ever updated for gallery 2.3.x

But all the other themes seem to have the .INC and .CSS in their root directory (see attached for matrix. ALL greypop has is /modules and /themes in ITS root directory. isn't that how the theme gets recognized in order to activate it?

if you upload to your gallery2 root directory then the files in themes would go into gallery2/themes and the files in modules would go into gallery2/modules.....
